1. Acceptance of Terms
By accessing erubrik.com or engaging any of our services, you agree to be bound by these Terms of Service. If you do not agree to any of these terms, please discontinue use of our website and services.
These Terms constitute a legally binding agreement between you ("Client," "User," or "You") and eRubrik LLC, a limited liability company organized under the laws of the State of Texas ("eRubrik LLC," "we," "us," or "the Company").
2. Description of Services
eRubrik LLC provides administrative document management services, including the following:
- Business formation services: coordination of the state registration process, IRS EIN procurement, and foundational documentation
- Remote Online Notarization (RON): performed by a notary public commissioned in Texas, in accordance with Texas Government Code §406.101 through §406.113
- Apostille and document authentication: administrative coordination of the process with the Texas Secretary of State, the U.S. Department of State, or other competent authorities, depending on the type of document
- Spanish and English translation services: linguistic document translation, including certified translation with a Certificate of Accuracy when required by the receiving institution
- Transportation permit processing: administrative management of permits with the FMCSA, USDOT, and state agencies
In all cases, eRubrik LLC acts solely as an administrative services provider. We are not attorneys, accountants, or financial advisors. None of our services constitute legal, tax, or financial advice.
3. Limitation of Scope
eRubrik LLC is not licensed to practice law in Texas or any other state. Under Texas Government Code §83.001, the preparation of legal instruments by unauthorized persons constitutes the unauthorized practice of law (UPL). Our services are strictly limited to administrative and document processing functions.
For any matter requiring legal, tax, or financial guidance, we recommend consulting a licensed Texas attorney, a certified public accountant (CPA), or another appropriately licensed professional.
4. Client Responsibilities
To enable the proper delivery of our services, you agree to the following:
- Provide truthful, complete, and current information
- Submit authentic, unaltered documents
- Notify us promptly of any changes to the information provided during an active transaction
- Verify the specific requirements of your transaction with the receiving institution or authority before initiating the process, particularly for international transactions
eRubrik LLC is not responsible for rejections, delays, or errors resulting from inaccurate information or altered documents submitted by the client.
5. Process and Payment
Our services require payment prior to execution, unless otherwise agreed in writing. Your quote will itemize all applicable official agency fees and eRubrik LLC administrative service fees as separate line items.
Any additional costs that arise during the process will be communicated to you before they are incurred. We will not proceed with additional charges without your express approval.
Payments made toward official government agency fees are non-refundable once submitted, regardless of the outcome of the transaction.
6. Processing Times
Processing times are estimates and depend on factors outside the control of eRubrik LLC, including government agency response times (Texas Secretary of State, IRS, FMCSA, and others), certified translator availability, and the timely receipt of complete documentation from the client.
eRubrik LLC will provide an estimated timeline before initiating each service but does not guarantee delivery dates for transactions that depend on third parties or external agencies.
7. Remote Online Notarization (RON): Specific Conditions
For RON services, you acknowledge and agree to the following:
- Each session will be recorded and the record retained in accordance with Texas Government Code §406.109
- The notary must be physically located in Texas at the time of the session; the client may be located anywhere in the world
- The platform used for the session complies with the standards established under Texas Administrative Code Chapter 87
- Certain documents may not be eligible for RON; the client is responsible for verifying eligibility before scheduling
- Some countries do not accept documents notarized online even when properly apostilled; the client is responsible for confirming acceptance with the receiving institution
8. Intellectual Property
All original content on erubrik.com, including text, design, logos, and informational materials created by eRubrik LLC, is the property of eRubrik LLC and is protected by applicable copyright law. Reproduction, distribution, or use of any such content without prior written authorization is prohibited.
Documents submitted by you for the performance of services remain your sole property. eRubrik LLC acquires no rights to them.
9. Limitation of Liability
To the fullest extent permitted by applicable law, eRubrik LLC shall not be liable for the following:
- Indirect, incidental, or consequential damages arising from the use of or inability to use our services
- Document rejections by government agencies, financial institutions, or foreign authorities
- Delays caused by government agencies or external systems beyond our control
- Errors resulting from inaccurate or incomplete information provided by the client
The total liability of eRubrik LLC to any client shall not exceed the amount paid by that client for the specific service that gave rise to the claim.
10. Modifications to These Terms
eRubrik LLC reserves the right to modify these Terms of Service at any time. Changes will be posted on this page with their effective date. Continued use of our services following the posting of any modification constitutes your acceptance of the updated terms.
11. Governing Law and Jurisdiction
These Terms of Service are governed by the laws of the State of Texas. Any dispute arising from these terms or from the use of our services shall be subject to the exclusive jurisdiction of the competent courts of Harris County, Texas.
