Why it matters

It’s about more than opening an LLC.

A well-structured company protects what you have today and builds what you want tomorrow. Don’t wait for a failed audit or a missed opportunity to act.

The cost of structuring is a fraction of the cost of not doing it.

The four pillars

A solid company stands on four pillars

  • Legal structure

An LLC registered with the state, a registered agent, an IRS EIN and the foundational documents to operate with a clear legal identity.

  • Business address

A commercial address for your company, physical or contracted as a mail-receiving service, so your business identity stays separate from your personal one.

  • Industry compliance

Every industry has its own operating requirements. We identify what applies to your business and coordinate the right filings.

  • Your company’s future

A properly formed company is an asset: it can grow, change hands and open doors to contracts an informal operation can’t reach.

Step by step

The steps we take with you

  1. 01

    Company name

We check that your company name is available in the state where you’ll register.

  2. 02

    State filing

We file your company with the state. Your quote shows exactly what goes to the state and what covers eRubrik LLC’s fees.

  3. 03

    Registered agent

Every company must designate a registered agent by law, to receive official notices on its behalf.

  4. 04

    Business address

A commercial address for your company: a physical location or a contracted mail-receiving service.

  5. 05

    EIN from the IRS

The number that identifies your company to the federal government and to the agencies you’ll work with.

  6. 06

    Foundational documents & business profile

We walk you through the documents recommended for your type of company and the next steps for your industry.

After formation

Business maintenance calendar

Forming your company is the first step. Keeping it active and in good standing is a year-round job.

  1. Review01

    Applicable state and federal deadlines

Reports, renewals, registrations and other obligations that apply to your company.

  2. Keep02

    Corporate documents organized

Keep certificates, agreements, records, contracts and any other relevant documentation.

  3. Update03

    Information changes

Check whether your address, owners, managers, business activity or other registered details have changed.

  4. Renew04

    Services and registrations that expire

Confirm the expiration dates of the services and registrations your company needs to keep active.

  5. Verify05

    Company status

Periodically confirm that the entity remains active and that its records are up to date.

Don’t wait for a notice

A missed obligation can lead to fees, lapsed status, operating restrictions or even affect the entity’s standing, depending on the jurisdiction and the type of noncompliance.

The long view

Structure it right today, and your operation becomes a real asset.

We build your company with the long term in mind: something you can pass down, sell or grow.

  • Built to pass down

With an Operating Agreement and a clear legal structure, your company can pass to your family without being dissolved.

  • Built to sell

Buyers pay for processes, authority and compliance. Structure is what creates value.

  • Built to scale

With documented systems and compliance, you can replicate your model with other operators under your brand.

At eRubrik we know your business deserves to be a real company.

FAQ

FAQ: business formation

See all questions
I operate without an LLC. Am I at legal risk?

Yes. Without an LLC, you personally carry all the civil and financial liability of your business. If there’s an accident, a lawsuit or a compliance failure, your personal assets (accounts, home, property) are exposed because there’s no legal separation between you and your business. In trucking, that’s critical. An LLC creates a legal barrier that protects your personal assets and makes compliance easier.

Which state should I register my LLC in?

The state where you have a physical presence or conduct your main operations.

Should I form an LLC or an S-Corp?

An S-Corp isn’t an entity: it’s a federal tax election with the IRS (Form 2553) made on an existing LLC. eRubrik handles your LLC registration and EIN; you make the tax decision with your CPA.

Does my new LLC have to file a BOI report with FinCEN?

Under FinCEN’s interim final rule of March 21, 2025, LLCs formed in the U.S. are exempt from BOI reporting. We’ll keep you posted if that status changes.

Can I use my SSN instead of an EIN?

Yes, but it isn’t recommended. An EIN is the right number to separate your personal and business identity: it protects your personal information and it’s needed for most federal and state filings.

Does eRubrik draft my company’s Operating Agreement?

No. We explain what it is and what it should include. Drafting it is your responsibility or that of a licensed attorney, under Texas Government Code §83.001.

How long does it take to get everything in order?

Forming an LLC usually takes anywhere from 24 hours to 10 business days, depending on the state and filing method. An EIN takes minutes when you apply online. In trucking, most clients can be legally operating in 7 to 14 days, and fully established once they pass the FMCSA audit within the 18-month New Entrant program.
